Digital Product License Agreement

This Digital Product License Agreement (“Agreement”) is a binding contract between you (“Licensee” or “you”) and Barstow Contract Co., LLC, a Texas limited liability company (“BCC,” “we,” or “us”). It governs your use of any contract templates, guides, tools, or digital content (collectively, “Licensed Material”) purchased or accessed via www.barstowcontracts.com (the “Site”).
By purchasing, downloading, accessing, or using any Licensed Material, you agree to be bound by this Agreement in full. If you do not agree, do not purchase, access, or use our products.
1. Grant of License
a) Subject to full payment and compliance with this Agreement, BCC grants you, one user, a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Licensed Material solely for your own internal business purposes. “One user” means one natural person. A single-user license may not be shared across multiple people, even within the same company or household.
b) No license is granted until full payment is received and confirmed. Any provisional access granted before payment clears may be revoked at BCC’s sole discretion.
2. Permitted Uses
a) You may:
i. Customize the Licensed Material for use in your business;
ii. Use the Licensed Material in your client work, provided clients do not receive, access, or retain any portion of it;
iii. Print or store copies for your internal, private use.
3. Prohibited Uses
a) You may not:
i. Use any portion of the Licensed Material to develop competing products, services, or legal templates;
ii. Share, resell, sublicense, post online, publish, or distribute the Licensed Material in whole or in part;
iii. Provide access to clients, contractors, consultants, virtual assistants, employees, or collaborators;
iv. Include BCC content in client deliverables, templates, coaching programs, courses, or toolkits;
v. Upload or host Licensed Material on public or private platforms, including Google Drive, Notion, Dropbox, Slack, SharePoint, or internal firm tools;
vi. Use Licensed Material for AI training, dataset creation, or machine learning development; you may not upload, input, or expose any portion of the Licensed Material to large language models, generative AI platforms, algorithmic analysis tools, or other automated systems for the purpose of training, prompt engineering, imitation, extraction, or competitive insight.
vii. List, offer, or embed for download, resale, or access on any marketplace, e-commerce platform, or third-party software integration, including Shopify apps, course platforms, or SaaS plugins;
viii. Translate, adapt, or republish the Licensed Material in any other language or jurisdiction;
ix. Remove copyright notices or branding elements;
x. Use the Licensed Material if you are a direct or indirect competitor of BCC, or for benchmarking, research, or product development purposes;
xi. Use any part of this site or its contents to gather competitive intelligence.
b) Unauthorized use constitutes material breach and willful infringement. These restrictions apply regardless of whether the Licensed Material has been customized, modified, or partially used.
4. License Scope & Duration
a) This license is issued to one individual purchaser only and is valid for the lifetime of the Licensee or the product, unless revoked sooner. It may not be shared with or extended to additional users, team members, contractors, entities, or firms without BCC’s express written consent. All other uses are strictly prohibited unless otherwise agreed in a signed writing.
b) Multi-user or commercial-use licenses are available upon request. Contact hq@barstowcontracts.com to inquire.
c) BCC reserves the right to revoke, suspend, or terminate any license at any time for breach or misuse. No refunds will be issued if access is revoked.
5. Refund Policy
a) All sales are final. By purchasing, you acknowledge and agree to this no-refunds policy. Due to the immediate, irreversible nature of digital delivery, no refunds, returns, or exchanges will be granted, except in cases of:
i. Verified duplicate transactions; or
ii. Billing errors directly caused by BCC or its payment processor.
b) Unauthorized chargebacks will be treated as breach of contract and unauthorized retention of copyrighted material.
6. Intellectual Property
a) All Licensed Material is the sole and exclusive property of Barstow Contract Co., LLC and is protected by U.S. and international copyright, trademark, and trade dress laws.
b) You acknowledge that:
i. This is a license, not a sale. You may not claim authorship or original authorship of any Licensed Material, whether modified or unmodified.
ii. You acquire no ownership or intellectual property rights;
iii. All rights not expressly granted herein are reserved by BCC;
iv. All products may include unique digital fingerprinting or watermarking for tracking purposes.
7. Legal Disclaimer
a) All BCC products are provided for general informational purposes only. They do not constitute legal advice. Use of the Licensed Material does not establish an attorney-client relationship.
b) You are solely responsible for:
i. Reviewing and customizing documents to suit your needs;
ii. Ensuring compliance with all applicable laws;
iii. Seeking independent legal counsel where appropriate.
8. No Warranties
a) ALL LICENSED MATERIAL IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BCC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BCC DOES NOT WARRANT THAT THE LICENSED MATERIAL WILL BE ACCURATE, COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR YOUR PARTICULAR SITUATION OR JURISDICTION.
9. Limitation of Liability
a) TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BCC, ITS MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY—ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE LICENSED MATERIAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
b) Aggregate liability. In no event shall BCC’s total cumulative liability for any claims arising out of or relating to this agreement exceed the amount paid by licensee for the licensed material in question.
c) Jurisdictional exclusions. Some jurisdictions may not allow the exclusion of certain warranties or limitations on liability. In such cases, the above disclaimers and limitations shall apply to the maximum extent permitted by law.
10. Indemnification
a) You agree to indemnify, defend, and hold harmless Barstow Contract Co., LLC (“BCC”) and its members, employees, contractors, affiliates, and agents from and against any and all claims, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:
i. your use or misuse of the Licensed Material;
ii. your breach of this Agreement;
iii. your violation of any applicable law or regulation;
iv. any content or materials you create, modify, distribute, or use in connection with the Licensed Material;
v. or any claim that your use of the Licensed Material caused harm to a third party.
b) Your indemnification obligations shall survive the termination or expiration of this Agreement and apply regardless of negligence or fault on the part of BCC, except where prohibited by law.
11. Enforcement & Remedies
a) Violation of this Agreement may result in:
i. Immediate revocation of all access and termination of your license;
ii. Cease-and-desist demands;
iii. Invoice for the full commercial value of each unauthorized use, including per-instance fees, plus administrative, legal, and investigative costs;
iv. Liquidated damages of $5,000 per unauthorized use as a fair approximation of harm caused by infringement;
v. Legal action for actual, statutory, and punitive damages;
vi. Public revocation of access and future purchase bans;
vii. Notification to affected platforms, marketplaces, banks, and industry peers, including but not limited to Etsy, Shopify, Squarespace, PayPal, and Stripe;
viii. Filing of Digital Millennium Copyright Act (DMCA) takedown notices;
ix. Platform reporting and permanent bans from third-party sales or software integrations.
b) Licensee agrees to pay all costs and expenses, including reasonable attorney’s fees, incurred by BCC in connection with the enforcement of this Agreement or collection of damages.
c) BCC actively monitors online platforms, cloud storage, AI systems, and marketplaces for infringement. Violators will be pursued to the fullest extent permitted by law.
12. Audit Rights
a) BCC reserves the right to request proof of license compliance. You agree to:
i. Cooperate with any audit or investigation;
ii. Provide documentation, user logs, or data demonstrating proper use;
iii. Retain and preserve access records as reasonably requested for a minimum of 24 months from date of purchase or use.
iv. BCC may engage forensic experts or third-party investigators to assist in enforcement.
13. Termination
a) This Agreement remains in effect unless and until terminated by BCC. Upon termination:
i. You must immediately cease use of all Licensed Material;
ii. You must delete all copies in your possession or control;
iii. You may not retain or repurpose any portion of the content.
b) BCC may revoke, suspend, or terminate your license immediately upon suspected breach, pending investigation. No refunds will be issued for any suspended or terminated license.
c) Termination does not affect BCC’s right to pursue damages for past or ongoing infringement.
14. Modifications
a) BCC reserves the right to modify this Agreement at any time. Updated terms will be posted to the Site. Your continued use and/or access of the Licensed Material after changes are published constitutes your acceptance of the revised terms.
15. Governing Law & Dispute Resolution
a) This Agreement is governed by the laws of the State of Texas.
b) All disputes shall be resolved through confidential, binding arbitration administered by the American Arbitration Association in Erath County, Texas, under its Commercial Arbitration Rules.
c) You expressly waive:
i. The right to a jury trial;
ii. The right to participate in any class, collective, or representative action;
iii. The right to assert foreign jurisdiction, international law, or cross-border enforcement defenses.
iv. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
16. No Assignment.
a) You may not assign, transfer, sublicense, or delegate any rights or obligations under this Agreement without BCC’s prior written consent. Any unauthorized assignment shall be null and void.
17. No Waiver.
a) The failure of BCC to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
18. Entire Agreement
a) This Agreement, together with our Terms and Conditions and Privacy Policy, constitutes the complete and exclusive agreement between you and BCC. No waiver, amendment, or modification is valid unless in a signed writing executed by an authorized representative of BCC.
19. Headings.
a) Headings are provided for convenience only and shall not affect the interpretation or construction of any provision of this Agreement.
20. Severability
a) If any provision of this Agreement is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from the remaining terms and shall not affect their validity or enforceability.
21. Survival
a) The provisions of this Agreement that by their nature should survive termination—including but not limited to Intellectual Property, Indemnification, Enforcement & Remedies, Limitation of Liability, Dispute Resolution, and this Survival clause—shall survive any termination or expiration of this Agreement
