This agreement is designed to clarify the terms of the sale, reduce misunderstandings, and support a smooth transaction for both parties. Whether you're selling a finished performance horse, buying a young prospect, or arranging a private sale, it provides a clear structure to outline responsibilities, manage risk, and protect your investment.

Included Clauses and Terms:

1. The Parties
Lists the full legal or entity names and contact details of both Buyer and Seller to clearly identify who is bound by the contract.

2. The Horse
Describes the horse being sold, including name, sex, breed, color, age, and registration number. Also includes space to attach an optional Exhibit A for registration papers, equipment, or additional sale terms.

3. Purchase Price
States the full purchase price, payment method, deposit terms (if any), and the deadline for payment. Allows for flexible options and nonrefundable deposit clauses.

4. Possession, Trial Period, and Delivery
Outlines when and how the Buyer takes possession of the horse. Includes optional provisions for:

  • Pre-purchase trial period

  • Possession before or after full payment

  • Buyer pickup, Seller delivery, or third-party transport

  • Transfer of risk and liability

5. Buyer’s Inspection and Acceptance
Protects the Seller by documenting whether the Buyer inspected the horse or waived inspection. Includes options for veterinary exams, known conditions, health records, and intended use.

6. Transfer of Ownership and Title
Clarifies when legal ownership passes to the Buyer and outlines responsibility for providing a bill of sale, handling breed registration, and paying transfer fees.

7. Final Sale and No Right of Return

9. Disclaimer of Warranties
Clearly states that the horse is sold “as-is,” with no guarantees of soundness, performance, or suitability. Disclaims all implied warranties to protect the Seller.

10. Release and Indemnification
Limits the Seller’s liability for issues after the sale and requires the Buyer to indemnify the Seller for any injury or damages caused by the horse after delivery.
